Limited Liability Company Formation in Bulgaria

Comprehensive assistance for the incorporation of a Limited Liability Company (LLC) in Bulgaria.

The service covers name check, preparation of incorporation documents, coordination of signatures, and a licensed lawyer filing with the Bulgarian Commercial Register until the company is fully registered. 

 

LLC important information: 

  • LLC can be EOOD or OOD depending on the number of shareholders. One Shareholder forms an EOOD. Two or more shareholders form an OOD. 
  • Minimum capital of LLC is EUR 1 and it should be deposited in a bank prior to the company formation by its shareholders. The bank account is opened in a bank branch by the director, who should appear there physically. In 95% of the cases banks require the director to have a Bulgarian residence. Often Bulgarians banks requires the company to present a Bulgarian Contact person declaration, signed in front of a notary.
  • The company should have an address in Bulgaria.
  • A LLC can have 1 or more directors who can manage the company together or separately. 
  • Shareholders and directors can be foreigners. By law they do not need Bulgarian residence to open a LLC, even though banks often require it to open bank account.

  2. Company name (if name is busy we will inform you to provide an alternative)
  3. Scope of activity
  4. Capital amount in EUR (minimum is 1 EUR)
  5. Company address (if you did not buy our address service)
  1. Declaration 141 should be signed by the Director/s in front of a notary or Bulgarian Embassy.
  2. If signed in front of a foreign notary should have a legalized translation to Bulgarian (Greece, Italy, Spain, France,Austria,Cyprus, China, Russia, Ukraine, Libiya etc.).
  3. If the notary's jurisdiction does not have a double-treaty with Bulgaria(United States,United Kingdom, Netherlands, Turkey etc.), => it should have apostille, as well.
  4. If the jurisdiction is not part to the Hague Convention + has no double treaty with Bulgaria (Canada, Egypt, Morocco, Thailand, Iran, Qatar, UAE etc.) => the declaration should be legalized with the local Ministry of Foreign Affairs and the Bulgarian Embassy there and then be translated.

Q: What do we open first - the bank account or the LLC?
A: An initial bank account is prerequisite to register a LLC. First the bank account is opened and then the company is registered.

Q: Can a LLC be registered remotely?
A: The director of a LLC should appear physically in front of a bank in order to open a nourishing bank account. He shall also appear physically in front of a notary. Everything else can be done remotely.

Q: What happens if you prepare the documents and we do not manage to open a initial bank account ?
A: We can either open a Variable Capital Company instead or make a refund of 50% of the price you paid.
