Transfer of Shares in Bulgarian Company

Complete assistance for the transfer of shares or ownership interests in a Bulgarian company. The service covers drafting of transfer documents, coordination of signing, and registration of the change with the Commercial Register. The price includes all applicable fees payable to the Bulgarian Commercial Register. Not included in the price are notary fees, fees for official translations, and legalization/apostille costs, if such services are required.

We prepare the documents same day you fill in the form you will receive by email. The company changes will be submitted to the Commercial Register the same day we receive the documents from you and be publicly visible in 3 business days.

  1. Passport / ID + Bulgarian Residence (if any) copy of new + old shareholder(s) and director
  2. Company number
  3. Transfered shares
  4. Transfer price
  5. Changes in management (in case there is such)

Notary / Embassy signature is required for the contract for sale. Notary / Embassy signature is required in case there is a new director, as well.

For the sale contract:

Option 1: Both Buyer and Seller appear simultaneulsy in front of notary

Option 2: Buyer/Seller/Both provide notarized PoA to us to represent them for this contract.

For hiring new Director:

  1. Declaration 141 should be signed by the Director/s in front of a notary or Bulgarian Embassy.
  2. If signed in front of a foreign notary should have a legalized translation to Bulgarian (Greece, Italy, Spain, France, Austria, Cyprus, China, Russia, Ukraine, Libiya etc.).
  3. If the notary's jurisdiction does not have a double-treaty with Bulgaria (United States,United Kingdom, Netherlands, Turkey etc.), => it should have apostille, as well.
  4. If the jurisdiction is not part to the Hague Convention + has no double treaty with Bulgaria (Canada, Egypt, Morocco, Thailand, Iran, Qatar, UAE etc.) => the declaration should be legalized with the local Ministry of Foreign Affairs and the Bulgarian Embassy there and then be translated.
